Legal 500 Enterprise GC Türkiye 2023

Enterprise GC Türkiye 2023 Summit, organized by Legal 500, was held at InterContinental Istanbul on December 12 and 13, 2023. The event brought together more than 100 corporate legal counsel and C-level executives, as well as many speakers from the business and legal world.

At Enterprise GC Türkiye 2023, which featured presentations on almost every area of law, Erdem & Erdem held a panel entitled "Navigating in Troubled Times for IPOs and M&As: Material Adverse Changes (MAC) and Disclosure Requirements".

The panel was moderated by Erdem & Erdem Founder and Senior Partner Prof. Dr. H. Ercüment Erdem and featured speakers were Kenan Yılmaz, Chief Legal and Compliance Officer at Koç Holding, Mustafa Yelligedik, President Legal Affairs at Anadolu Group, Tuna Çolgar and İbrahim Onur Baysal, Partners at Erdem & Erdem.

In today's ever-changing economic and political environment, the panel discussed the importance of MAC clauses in share purchase and sale agreements in M&A transactions and how these clauses find an application in capital markets transactions. In addition, the application of disclosure clauses in issuer-side and seller-side transactions and their scope in public offering transactions or bond issuances were evaluated. The panel, which also included examples from the practices of Turkey's two largest corporate groups, Koç Holding and Anadolu Group, focused on how unforeseen events shape the decision-making process of companies in terms of mergers and acquisitions and public offerings.
