As Erdem & Erdem, we have completed the second quarter sessions of 2024 of Erdem & Erdem Academy in-house training programs, which cover a wide range of legal topics.

Within the scope of Erdem & Erdem Academy, our associate Melis Uslu made a presentation titled "Condition Subsequent in Mergers and Acquisitions" on April 5, 2024. In her presentation, Melis Uslu touched upon the conditions precedents and conditions subsequents as regulated under the Turkish Code of Obligations, and the details of the conditions subsequents in share transfer agreements.  

On Thursday, May 9, 2024, Dr. Cem Veziroğlu, Assistant Professor of Commercial Law at Koç University and Affiliated Scholar at UNESCO Chair for Gender Equality and Sustainable Development, made a presentation titled "Risks and Opportunities Awaiting Companies in the Axis of ESG Regulations and Market Dynamics".

In his presentation, Dr. Cem Veziroğlu discussed the concept of sustainability as an agenda of corporate law, the regulations on this issue and the pressure of market dynamics. Then, in terms of ESG responsibility of companies and related regulations, he explained in detail the climate lawsuits filed against companies, directors' liability, supply chain due diligence obligations, greenwashing and non-financial reporting obligations.

On Friday, June 14, 2024, our associate Aslı Su Çoruk made a presentation on "Gun Jumping in M&A Transactions". In her presentation, Aslı Su Çoruk addressed the cases considered as mergers and acquisitions, notification thresholds, notification obligations in mergers and acquisitions, timing of notifications, and transactions that require approval but are not notified. Aslı Su Çoruk also reviewed the Board's examination and sanctions, the Board's decisions in the Brookefield/JCI case, the BMW/Daimler/Ford/Porsche/Ionity case, and the Elon Musk case, and subsequently explained the practical considerations to be observed.

Throughout the year, we continue delivering our comprehensive in-house training programs on diverse areas of law under the guidance of Erdem & Erdem Academy. These programs will continue with unwavering momentum into the third quarter of the year.
