Guide to Horizontal Cooperation Agreements
On July 17, 2024, our Associate, Nil Zeren Özdemir made a presentation on "Guide to Horizontal Cooperation Agreements – Information Exchange". Nil Zeren Özdemir, in her presentation, addressed the detection of anti-competitive information exchange, its restrictive effects on competition, and the efficiency gains it generates. She also covered the topics of hub-and-spoke cartels and information exchange through distributors and customers. Additionally, she evaluated the decisions of the Competition Authority by providing examples.
On July 19, 2024, our Associate Aslı Su Çoruk, delivered a presentation titled "Guide to Horizontal Cooperation Agreements: Joint Production and Commercialization Agreements". In her presentation, Aslı Su Çoruk addressed the concepts of horizontal cooperation agreements, production agreements, and commercialization agreements. She also examined the competitive concerns within the scope of these agreements, and provided an assessment of exemptions under the Article 5 of Law No. 4054, along with relevant examples.
Competition Notification in Venture Capital Investment Processes
On July 24, 2024, our Partner and Capital Markets Leader, Onur Baysal, and our Managing Associate, Ecem Süsoy Uygun, addressed the topic of competition notification in venture capital investment processes. Considering the recent growth of the entrepreneurial ecosystem both in our country and globally, with investments being made in new, dynamic companies and promising ventures and entrepreneurs, this event evaluated the contributions of venture capital investments to companies from a legal perspective.
Action for Termination of Joint Stock Company for Just Cause TCC Art. 531
On July 26, 2024, one of our Senior Associates Ece Özsü, made a presentation titled “Action for Termination of Joint Stock Company for Just Cause TCC Art. 531”. In her presentation, Ece Özsü discussed Art. 531 of the TCC and its purpose, the legal nature of the lawsuit, the specific conditions of the lawsuit, the parties to the lawsuit, intervention in the lawsuit and the court where the lawsuit will be filed. Ece Özsü also evaluated the trial, the concept of just cause, the situations that the Court of Cassation considers and does not consider as just cause, the issues to be considered by the court and the decisions to be rendered at the end of the trial.
Competition Law Notifications in Mergers and Acquisitions
On August 29, 2024, one of our Managing Associates, Merve Bakırcı delivered a presentation titled “Competition Law Notifications in Mergers and Acquisitions”. In her presentation, Merve Bakırcı elaborated on the merger control notifications to the Competition Authority and the procedures for obtaining clearance in the context of mergers and acquisitions. She discussed the circumstances considered as mergers and acquisitions, as well as the concepts of turnover thresholds, transaction parties, relevant undertakings, control, and changes in control as per Article 7 of the Law No. 4054 on the Protection of Competition. Additionally, the presentation provided an in-depth analysis of strategic decisions, the notification process and timelines, and ancillary restraints.
European Union Artificial Intelligence Act
On September 13, 2024, one of our Associates, Gülnur Çakmak Ergene delivered a presentation titled “European Union Artificial Intelligence Act.” In her presentation, she provided an in-depth analysis of the European Union's first artificial intelligence law, which introduces comprehensive regulations for AI systems that are actively used today. Gülnur Çakmak Ergene also thoroughly discussed the key features, scope, risk-based approach, and implementation timeline of the AI Act, which has attracted significant attention not only within the European Union but also globally.
Electricity Market Law
On September 20, 2024, one of our Senior Associates, Rüştü Mert Kaşka, made a presentation titled “Energy Law 101/1 - Electricity Market Law”. In his presentation, Rüştü Mert Kaşka detailed the legal and physical nature of electricity. He also comprehensively explained the regulation of the electricity market and the activities that can be carried out in the electricity market provided that a license is obtained.
